1. CHAMAN CONSULTANTS — TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern the use of the Chaman Consultants website (https://chamanconsult.com) and all consultancy services provided by Chaman Consultants (“we”, “our”, “us”). By accessing our website or engaging our services, you agree to these Terms.

1. Definitions

• “Client”: Any individual or organisation engaging Chaman Consultants.

• “Services”: Consultancy, advisory, training, research, strategy development, or related work.

• “Agreement”: The contract formed between the Client and Chaman Consultants, including these Terms.

2. Scope of Services

We provide consultancy services in governance, strategy, leadership development, migration policy, capacity building, and related fields. The scope, deliverables, timelines, and fees will be outlined in a written proposal or contract before work begins.

3. Payment Terms

Chaman Consultants offers three payment models:

3.1 Advance Payment

Some services require full or partial payment before work begins. The required amount will be stated in the proposal or invoice.

3.2 Payment After Service

Where agreed in writing, clients may pay after services are delivered. Invoices are due within 14 days of issue unless otherwise stated.

3.3 Installment Plans

Clients may request installment arrangements. Installment schedules must be agreed in writing before work begins. Failure to meet installment deadlines may result in:

• Suspension of services

• Late payment fees

• Termination of the agreement

3.4 Late Payments

Late payments may incur interest at 2% per month until settled.

3.5 Additional Costs

Travel, accommodation, and project‑related expenses will be billed to the Client where applicable.

4. Client Responsibilities

The Client agrees to:

• Provide accurate and timely information

• Ensure access to relevant personnel and documents

• Review deliverables promptly

• Communicate changes or concerns in writing

We are not responsible for delays caused by incomplete or late information.

5. Confidentiality

Both parties agree to maintain strict confidentiality regarding:

• Business information

• Data shared during the engagement

• Reports, strategies, and internal documents

Confidential information will not be disclosed without written consent, except where required by law.

6. Intellectual Property

• All materials, reports, and methodologies created by Chaman Consultants remain our intellectual property.

• Clients receive a licence to use deliverables for internal purposes only.

• Reproduction or distribution requires written permission.

7. Data Protection & Cyber Compliance

We comply with global data protection standards, including:

• GDPR (EU)

• CCPA (California)

• POPIA (South Africa)

• General international cyber‑law principles

We commit to:

• Secure data handling

• Lawful processing

• Transparency

• Respect for user rights

Clients must also comply with applicable data protection laws when sharing personal data with us.

8. Limitation of Liability

To the fullest extent permitted by law:

• We are not liable for indirect or consequential damages.

• Our total liability is limited to the fees paid for the specific engagement.

• We do not guarantee specific outcomes; our role is advisory.

9. Cancellation & Termination

Either party may terminate the engagement with 14 days’ written notice.

Upon termination:

• The Client must pay for all completed work

• Advance payments for uncompleted work may be refunded (see Refund Policy)

• We may terminate immediately for breach, unethical conduct, or non‑payment

10. Website Use

Users agree not to:

• Copy or reproduce website content without permission

• Use the website for unlawful purposes

• Attempt to compromise website security

We may update website content without notice.

11. External Links

We are not responsible for third‑party websites linked from our site.

12. Amendments

We may update these Terms at any time. Continued use of our services constitutes acceptance of updated Terms.

13. Governing Law

These Terms are governed by the laws of Zambia. Disputes will be resolved through negotiation, and if unresolved, through the courts of Zambia.
